Legal status

The Society is registered with the Charity Commission under registration number 239172 and was incorporated as a limited company under the Companies Act 1948 on 15 November 1955, company registration number 557344.  The Society is a company limited by guarantee and does not have share capital.  The Directors of the charitable company are its Trustees for the purposes of charity law.

The management of the Society is the responsibility of the members of the Council of Management (Rescue Council) who are elected and co-opted under the terms of the Memorandum and Articles of Association and have the sole and entire management of the business of the Society.  The Trustees are recruited for their service to the Society or their skills and experience in the field of social care and business.

Full meetings of the Rescue Council take place 11 times a year and agree major areas of policy.  There are two sub-committees – Governance and Finance – and sub groups each with specific terms of reference and which include officers employed by the Society.  The operational management of the Society and the exercise of executive responsibility is delegated to the Director, Kathy Batt, who in turn is assisted by Susan Bunch, Head of Child Care and Colette McLaughlin, Head of Finance & Support Services.
